All content, materials, and intellectual property on our website and in our services, including but not limited to text, graphics, logos, images, software, and designs, are the property of Magpi Solutions or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of our content without our express written permission.

In the course of providing our services, we may have access to confidential information about your business. We agree to:

• Use confidential information solely for the purpose of providing services
• Not disclose confidential information to third parties without your consent, except as required by law

To the maximum extent permitted by law:

• Magpi Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the 12 months preceding the claim
• We do not guarantee that our services will be uninterrupted, error-free, or completely secure
• You acknowledge that you use our services at your own risk

You agree to indemnify, defend, and hold harmless Magpi Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your violation of any rights of another party
• Any content you submit or transmit through our services

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including but not limited to:

• Violation of these Terms of Service
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion

Upon termination, your right to use our services will cease immediately. All provisions of these terms that by their nature should survive termination shall survive.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution Process

Any disputes arising out of or relating to these terms or our services shall be resolved through:

• Good faith negotiations between the parties
• If negotiations fail, through mediation by a mutually agreed mediator
• If mediation fails, through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015
• Arbitration shall be conducted in Kochi, Kerala, India

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of information

We do not warrant that our services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

Entire Agreement

These Terms of Service, together with any service agreements or addendums, constitute the entire agreement between you and Magpi Solutions regarding the use of our services.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms without restriction.
